We may modify this Agreement at our discretion. We will post changes on the Site and update the \u201cLast Revised\u201d date and may also notify you by email. Changes take effect upon posting unless a later date is specified. Your continued use of the Services after changes are posted constitutes acceptance. If you do not agree, stop using the Services.<\/span><\/p>\n2. Eligibility

You represent and warrant that you:<\/span><\/p>\n\u00a0 \u00a0 \u00a0 \u00a01.\u00a0 are at least 18 years old and have legal capacity to enter into this Agreement;<\/span><\/p>\n\u00a0 \u00a0 \u00a0 \u00a02. are not a citizen\/resident of, located in, or accessing the Services from any jurisdiction where use is prohibited or where we are not permitted to provide the Services;<\/span><\/p>\n\u00a0 \u00a0 \u00a0 \u00a03. are <\/span>not<\/b> subject to sanctions or listed on any EU, UK, US (OFAC), or UN restricted lists;<\/span><\/p>\n\u00a0 \u00a0 \u00a0 \u00a04. will <\/span>not<\/b> use the Services for unlawful purposes (including money laundering, terrorist financing, sanctions evasion, fraud, tax evasion); and<\/span><\/p>\n\u00a0 \u00a0 \u00a0 \u00a05. use the Services on your own behalf and for your own account unless otherwise expressly agreed by us in writing.<\/span><\/p>\n3. Registration and Account
\n<\/b><\/h3>\n
To use the Services, you must create an account (\u201c<\/span>Account<\/b>\u201d). You agree to:<\/span><\/p>\n\n- provide accurate, current, and complete information and keep it updated;<\/span><\/li>\n
- maintain the security of your credentials and devices;<\/span><\/li>\n
- promptly notify us of any suspected or actual unauthorized access or security incident; and<\/span><\/li>\n
- accept responsibility for all activities under your Account.<\/span><\/li>\n<\/ul>\n
We may refuse, suspend, or close an Account at our discretion where permitted by law.<\/span><\/p>\n4. Compliance, AML\/CTF & KYC
\n<\/b><\/h3>\n
We comply with EU AML\/CTF laws and related guidance. You agree that we may request and you will promptly provide: identity documents, proof of address, source of funds\/wealth, tax residency, sanctions screening information, and any other documents we reasonably require.<\/span><\/p>\nWe may:<\/span><\/p>\n\n- restrict, suspend, or terminate Services;<\/span><\/li>\n
- block or delay transactions;<\/span><\/li>\n
- report suspicious activity to competent authorities; and\/or<\/span><\/li>\n
- request re-verification at any time.<\/span><\/li>\n<\/ul>\n
Failure to provide information or providing inaccurate information may result in restricted or terminated access.<\/span><\/p>\n5. Service Description; Execution-Only
\n<\/b><\/h3>\n
Smart Atlas Ltd. sro\u00a0 provides an online platform (the \u201c<\/span>Platform<\/b>\u201d) enabling Users to acquire, hold, and\/or sell digital assets.<\/span>
\n<\/span>We provide <\/span>execution-only<\/b> services and do not provide investment advice, portfolio management, or fiduciary services.<\/span>
\n<\/span>You are solely responsible for your investment decisions and for understanding the risks of digital assets.<\/span><\/p>\n6. Educational Content and No Advice
\n<\/b><\/h3>\n
Any market commentary, educational materials, research notes, prices, charts, or other information we or our representatives provide are for information only, may be incomplete or inaccurate, and may change without notice. They are <\/span>not<\/b> investment, legal, tax, or accounting advice, and you should seek your own professional advice.<\/span><\/p>\n7. Risk Disclosure
\n<\/b><\/h3>\n
Digital assets are <\/span>high risk<\/b> and volatile. You may lose <\/span>all<\/b> invested capital. Risks include (non-exhaustive): market volatility, liquidity shortages, regulatory changes, forks, airdrops, attacks (e.g., 51% attacks), chain re-organizations, custody risks, cyberattacks, technology failures, and third-party insolvency. Past performance is not indicative of future results.<\/span><\/p>\n8. Intellectual Property; Limited License
\n<\/b><\/h3>\n
SWe grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services and related content for your personal, lawful use. You must not copy, modify, reverse engineer, distribute, frame, scrape, or exploit the Site\/Services or our trademarks without our prior written consent. \u201cSmart Atlas Ltd. sro \u201d and related marks and logos are our trademarks.<\/span><\/p>\n9. Privacy & Data Protection (GDPR)

We process personal data in accordance with the <\/span>GDPR (EU) 2016\/679<\/b> and applicable laws. See our <\/span>Privacy Policy<\/b> on the Site for details on what we collect, purposes, legal bases, retention, sharing, international transfers, data subject rights, and contact details of our data protection contact. Where legally required, we will rely on your consent or another lawful basis.<\/span><\/p>\n10. Security; Internet Transmission
\n<\/b><\/h3>\n
We use reasonable technical and organizational measures to protect your data and assets, but no system is fully secure. Transmissions over the internet may be intercepted or lost. You acknowledge these risks and agree that we are not liable for losses arising from network or transmission failures beyond our reasonable control.<\/span><\/p>\n11. Orders, Execution & Receipts<\/b><\/h3>\n
Smart Atlas Ltd. sro\u00a0 may execute buy\/sell orders manually with counterparties and\/or on external markets. We do not guarantee best execution beyond reasonable efforts.<\/span><\/p>\nTransparency:<\/b> We will send you a detailed acquisition receipt. You may request proof of acquisition (e.g., order screenshots, chat logs). <\/span>Proof request fee:<\/b> \u20ac10<\/b> charged to your Account.<\/span><\/p>\nWe are not responsible for losses due to market movements or prices you deem unsatisfactory.<\/span><\/p>\n12. Withdrawals & 48-Hour Delay<\/b><\/h3>\n
For the safety of your funds, virtual-asset withdrawals are delayed for <\/span>48 hours<\/b> from the time of request. We will notify you (email and\/or SMS, where available). You may request cancellation during this window. We are not responsible for market movements during the delay.<\/span><\/p>\nWe may refuse, cancel, or reverse a transaction where we reasonably suspect fraud, AML\/CTF issues, sanctions concerns, or other prohibited use.<\/span><\/p>\n13. Fees and Taxes<\/b><\/h3>\n
Our fees are disclosed on the Site or otherwise communicated to you. You agree to pay all applicable fees, network fees, and taxes arising from your use of the Services. You are solely responsible for declaring and paying taxes applicable to your activity.<\/span><\/p>\n14. Cryptocurrency Attacks and Security Incidents<\/b><\/h3>\n
If a cryptocurrency supported on the Platform is compromised or under attack (e.g., 51% attack), we may halt trading, deposits, and withdrawals immediately. We may discontinue trade in such cryptocurrency entirely. Resolutions concerning balances will be determined case by case. We make no guarantees regarding safety of networks and are not liable for lost value or stolen property.<\/span><\/p>\n15. Third Party Content<\/b><\/h3>\n
The Site may contain third party content and links. We do not control, endorse, or adopt third party content and make no warranties regarding its accuracy or completeness. Use of third party content is at your own risk.<\/span><\/p>\n16. User Conduct<\/b><\/h3>\n
You must not:<\/span><\/p>\n\n- use the Services in violation of law or regulation;<\/span><\/li>\n
- provide false or misleading information;<\/span><\/li>\n
- infringe intellectual property rights;<\/span><\/li>\n
- distribute spam or malware;<\/span><\/li>\n
- interfere with Site security or overload infrastructure;<\/span><\/li>\n
- attempt unauthorized access; or<\/span><\/li>\n
- transfer your Account.<\/span><\/li>\n<\/ul>\n
17. Ownership of Funds<\/b><\/h3>\n
You certify that any funds used are legally obtained and owned by you, or you are duly authorized to use them.<\/span><\/p>\n18. Indemnification<\/b><\/h3>\n
You agree to indemnify and hold harmless Smart Atlas Ltd. sro , its affiliates, officers, employees, and partners from any claim, loss, damage, liability, or expense (including legal fees) arising from your use of the Services, violation of this Agreement, or violation of third-party rights or law.<\/span><\/p>\n19. Disclaimer of Warranties<\/b><\/h3>\n
The Services are provided \u201c<\/span>as is<\/b>\u201d and \u201c<\/span>as available<\/b>\u201d without warranties of any kind, express or implied. We do not guarantee continuous availability, accuracy, or security. Some jurisdictions do not allow disclaimers; in such cases, only the minimum required protections apply.<\/span><\/p>\n20. Limitation of Liability<\/b><\/h3>\n
To the fullest extent permitted by law, Smart Atlas Ltd. sro\u00a0 is not liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits. Our total liability will not exceed the total fees paid by you to us in the six (6) months preceding the event giving rise to liability.<\/span><\/p>\n21. Termination<\/b><\/h3>\n
We may suspend or terminate your Account if required by law, if you breach this Agreement, or if suspicious activity is detected. Upon termination, and where legally permitted, you may withdraw remaining balances within ninety (90) days. You remain liable for all amounts owed.<\/span><\/p>\n22. Right to Refuse Service<\/b><\/h3>\n
We may refuse new or ongoing services at our discretion. Existing clients will be given thirty (30) days\u2019 notice, after which they may hold, sell, or withdraw their balances, but may not place new buy orders.<\/span><\/p>\n23. Confidentiality of Communications<\/b><\/h3>\n
Any emergency communications or special notifications provided to you are confidential. Sharing such content without authorization may result in suspension or closure of your Account.<\/span><\/p>\n24. Survival<\/b><\/h3>\n
Sections regarding Privacy, Indemnification, Disclaimer of Warranties, Limitation of Liability, Governing Law, and others intended by their nature shall survive termination of this Agreement.<\/span><\/p>\n25. Severability<\/b><\/h3>\n
If any part of this Agreement is deemed invalid or unenforceable, the remainder remains valid and enforceable.<\/span><\/p>\n26. Force Majeure<\/b><\/h3>\n
We are not liable for failure or delay due to events beyond our reasonable control, including but not limited to natural disasters, acts of government, war, labor disputes, power outages, network failures, or third-party service interruptions.<\/span><\/p>\n27. Governing Law and Contact<\/b><\/h3>\n
